Fees and Payment

The agreement establishes a **per-visit base fee**, a non-refundable **mobilization deposit** applied to the final invoice cycle, and a clearly defined payment window. Late invoices accrue a monthly percentage fee, and Service Provider may suspend visits and withhold deliverables until overdue balances are cleared.

Out-of-pocket expenses above a defined per-visit threshold — such as parking, access permits, or specialized PPE — are separately reimbursable.

Safety Training and Site Compliance

Before the first visit, the Client must supply the **project-specific Site Safety Plan**, PPE standards, and any mandatory certifications (e.g., OSHA 10/30, ISNetworld, Avetta). Service Provider confirms personnel hold current required credentials and carries general liability insurance at the specified minimum limit.

Clients are responsible for flagging changes to restricted zones or hazardous-materials areas with advance notice. Service Provider personnel always follow the site's general contractor and safety officer — and retain the right to **decline entry to any area deemed unsafe** without fee reduction.

Site-Conditions Escape Clause

Service Provider may postpone or cancel any visit — **without penalty or breach** — when facing active OSHA stop-work orders, blocked site access, structural instability, hazardous-material exposure, or Client's failure to provide safety credentials. The parties must cooperate to reschedule within ten business days, and rescheduled visits from these conditions carry no rescheduling fee.

If site-condition cancellations within Client's control exceed **three occurrences in any 60-day window**, Service Provider may elect to terminate the agreement while retaining all earned fees.
