What is the Copyright Assignment Transfer?

The Copyright Assignment Transfer is a formal legal agreement in which a real estate photographer or 3D-tour creator (Assignor) irrevocably transfers all copyright ownership of visual deliverables — including photos, video, 3D-scan data, floor plans, and drone imagery — to a client (Assignee). It documents the assignment fee, a limited portfolio license back to the photographer, a moral-rights waiver, and an automatic reversion sunset clause that returns copyright if the client fails to commercially exploit the works within a defined period.

When should you use this form?

The Copyright Assignment Transfer is appropriate when a client — such as a real estate brokerage, developer, or property management company — requires full ownership of all visual and 3D-tour deliverables rather than a standard usage license. Common scenarios include clients who plan to resell, sublicense, or permanently archive the works; commercial developments requiring unencumbered IP for marketing campaigns; and situations where a buyer specifically negotiates ownership as a condition of the shoot contract.

What this form covers

1. Parties and Effective Date

This Copyright Assignment Agreement is entered into as of **[ASSIGNMENT DATE]** between **[PHOTOGRAPHER LEGAL NAME]** ("Assignor") and **[CLIENT LEGAL NAME]** ("Assignee"). It governs the complete and irrevocable transfer of all copyright interests in visual and 3D-tour deliverables captured at **[PROPERTY ADDRESS]**.

2. Description of Works

The "Works" include all photographs, video, 3D-scan data, virtual-tour files, floor-plan renderings, drone/aerial imagery, and any other visual deliverables — raw, processed, and derivative — created in connection with the Property.

3. Assignment of Copyright

Assignor irrevocably assigns **all right, title, and interest** in the Works to Assignee, including worldwide copyright, the right to create derivative works, and all causes of action for past or future infringement. No rights are retained by Assignor after the Effective Date, except the limited portfolio license described in Section 5.

4. Assignment Consideration

  • **Copyright Assignment Fee:** [ASSIGNMENT FEE] — a one-time, non-refundable premium for the full transfer - **Base Production Fee:** [BASE PRODUCTION FEE] — billed separately for the shoot itself - Due by **[PAYMENT DUE DATE]** via [PAYMENT METHOD] - Assignment is **not effective** until cleared funds are received; late balances accrue 1.5 % / month

6. Moral-Rights Waiver

To the fullest extent permitted by law, Assignor irrevocably waives all moral rights — including rights of attribution and integrity — in every jurisdiction worldwide, and agrees not to bring any claim based on such rights against Assignee or its licensees.

8. Sunset Clause

If Assignee has not **commercially exploited** any portion of the Works within **[SUNSET PERIOD YEARS] years**, copyright automatically reverts to Assignor — no court order required. Assignee may prevent reversion with written certification of use prior to the deadline. No refund of the Assignment Fee is owed upon reversion.
