The Editorial Use License is a photographer-to-publisher contract template granting limited, non-exclusive rights to reproduce specific images in journalism and editorial contexts only. It defines permitted uses such as news articles, magazine features, and documentary reporting, while explicitly prohibiting advertising, real estate marketing, and AI training datasets. A mandatory credit-line requirement and liquidated-damages clause for omission are built into the agreement. Rights are time-bounded by an embargo lift date and a license expiration date.
The Editorial Use License is appropriate when a photographer or reality-capture professional is licensing images to a newspaper, magazine, editorial website, or documentary producer for journalistic coverage — not for promotion. Use it when a publisher requests images of a property, architectural subject, or built environment for a news story, feature article, or editorial blog post, and when the photographer needs to explicitly prevent the same images from being repurposed in advertising, MLS listings, or commercial campaigns.

This license draws a firm line between editorial journalism and commercial promotion. **Permitted Editorial Uses** include news articles, magazine features, newspaper stories, editorial blog posts, documentary journalism, and non-commercial educational reporting.

Every publication of a Licensed Image must carry a visible, adjacent credit line in this exact form:

The credit must be visible **without** requiring the reader to hover, click, or take any additional action. If the credit line is omitted, the License Fee is automatically multiplied by the agreed penalty multiplier as liquidated damages — a provision that reflects the real reputational and economic harm photographers suffer when attribution is stripped.

The license includes a hard **embargo lift date and time** (with time zone) before which no image may be published, shared, or distributed in any form. Rights expire on a defined **License Expiration Date**, after which Licensee must remove the images from all public-facing platforms. A narrow archive exception allows password-protected internal record-keeping only.

A one-time License Fee is due within the agreed payment window. Unauthorized commercial use triggers a retroactive penalty fee calculated as a multiple of the standard commercial rate. Disputes are governed by the law of the chosen U.S. state, with mediation as a first step before arbitration or litigation.
