The Exclusive License is a photography licensing agreement template that grants one named licensee sole rights to use specified images for a defined permitted use case, within a defined territory, and for a fixed exclusivity period. It separates the base license fee from an exclusivity premium, bars the photographer from licensing the same images to direct competitors during the window, and automatically converts to a non-exclusive license when the exclusivity period expires — no termination notice required.
The Exclusive License is appropriate when a client — such as a real estate developer, brokerage, or property marketing firm — requires that no competitor may use the same photos or 3D tour captures during an active sales or marketing campaign. It is also suitable when a licensee is paying a premium specifically for competitor lockout in a defined market or territory, and the photographer needs a written record of that exclusivity window, its fee, and its automatic sunset date.

This Exclusive License Agreement is entered into between **[PHOTOGRAPHER LEGAL NAME]**, the copyright-owning creator of the Licensed Materials, and **[LICENSEE LEGAL NAME]**, the party receiving the exclusive rights. Nothing in this Agreement transfers copyright ownership — the Photographer retains full authorship at all times.
Subject to full payment, the Photographer grants a limited, non-transferable **exclusive license** to use the Licensed Materials solely for **[PERMITTED USE CASE]** within the territory of **[EXCLUSIVITY TERRITORY]**.
"Exclusive" carries real teeth here: during the Exclusivity Period the Photographer **may not license the same images to any direct competitor** — defined as any party engaged in [COMPETITOR DESCRIPTION] — within the covered territory. Prohibited actions include sublicensing, syndication, and third-party sales for the same use case.
Licensing fees are split into two transparent line items:
The Exclusivity Premium is **non-refundable once the window opens**. Late balances accrue interest at 1.5 % per month, and the Photographer may suspend the exclusive grant for non-payment.
The exclusive window runs from **[EXCLUSIVITY START DATE]** to **[EXCLUSIVITY END DATE]** and then **sunsets automatically** — no notice required. On expiry the license converts to a standard non-exclusive license, freeing the Photographer to market the images to any party.
The Photographer always retains the right to display Licensed Materials in portfolios, social media, and award submissions — provided no commercial sublicense is granted. Rights outside the defined Permitted Use or Territory remain available to the Photographer throughout the Agreement.
