INDEPENDENT CONTRACTOR AGREEMENT

Sub-photographers, second shooters, scan operators, and field contractors

WHEN TO USE THIS FORM

Use this Agreement when engaging a second shooter, sub-photographer, drone pilot, scan operator, or any independent contractor to perform Services on behalf of your business. Carefully review state worker-classification law (especially California AB5 and similar) before signing — misclassification can create significant tax and labor-law exposure.

This Independent Contractor Agreement (this “Agreement”) is entered into and effective as of [EFFECTIVE DATE] by and between [COMPANY LEGAL NAME] (the “Company”) and [CONTRACTOR LEGAL NAME] (the “Contractor”).

1. Services and Independence

1.1 Services. Contractor will perform real-estate photography, 3D capture, drone, video, post-processing, or other Services as identified in individual Service Orders or in Schedule A.

1.2 Independent Contractor. The Parties intend that Contractor is an independent contractor and not an employee, joint venturer, partner, or agent of Company. Contractor controls the manner and means of performing the Services. Contractor uses Contractor’s own equipment (with limited exceptions noted in Schedule A) and is responsible for Contractor’s own taxes, workers’ compensation (where applicable), and benefits. Nothing in this Agreement creates an employment relationship.

1.3 State-Law Classification Caveat. The Parties acknowledge that some states (notably California under AB5 and the ABC test) impose strict requirements for independent-contractor classification. Each Party is responsible for its own compliance, and this Agreement does not waive any rights either Party may have under applicable worker-classification law.
