WHEN TO USE THIS FORM
Use this NDA before sharing or receiving confidential information in connection with a prospective engagement — pre-listing scans, builder portfolio reviews, brokerage negotiations, software / API integrations, or any business discussion that exchanges non-public information. This is a mutual NDA — either party can be the disclosing or receiving party.
This Mutual Non-Disclosure Agreement (this “NDA”) is entered into and effective as of [EFFECTIVE DATE] by and between [PARTY A LEGAL NAME] and [PARTY B LEGAL NAME] (each a “Party” and together the “Parties”). Each Party may, at various times, act as the Disclosing Party or the Receiving Party.
The Parties wish to explore [DESCRIBE THE BUSINESS DISCUSSION — e.g., a real-estate photography engagement, a software integration, a partnership, a portfolio review] (the “Purpose”). Each Party may disclose Confidential Information to the other in furtherance of the Purpose.
2.1 Definition. “Confidential Information” means any non-public information disclosed by one Party to the other in connection with the Purpose, whether in writing, orally, electronically, or visually, that is identified as confidential or that a reasonable person would understand to be confidential. Confidential Information includes (without limitation) deliverables, raw capture files, point clouds, drone footage, floor-plan data, pricing, client lists, software architecture, API keys, business plans, and pre-listing property captures.
