What is the Non Compete Non Solicit?

The Non Compete Non Solicit agreement is a protective contract for real estate photography businesses and 3D tour providers that hire employees or engage independent contractor partners. It establishes a defined geographic radius and post-separation time period during which the covered party may not work for competing visual-media services, solicit the company's clients or referral partners, or recruit its staff. The template includes blue-penciling provisions, injunctive-relief clauses, and permitted exceptions tailored to the real estate photography industry.

When should you use this form?

Use the Non Compete Non Solicit when bringing on a new photographer, drone operator, Matterport or iGUIDE technician, or floor-plan drafter — whether as a W-2 employee or a 1099 contractor. It is also appropriate when an existing team member is being promoted to a client-facing role, gaining access to pricing data, vendor contacts, or proprietary client lists for the first time.

What's included in this template?

  • Parties and effective date, establishing company and covered party roles
  • Definitions of Competitive Business, Restricted Territory radius, Restricted Period duration, and Confidential Information
  • Non-Compete Covenant covering ownership, employment, and consulting within the restricted radius
  • Non-Solicitation of Clients and Referral Partners across all contact channels
  • Non-Solicitation of Employees and Contractors during and after engagement
  • Confidentiality and Trade Secrets protection for client lists, pricing, and workflows
  • Permitted Exceptions for work outside the territory and court-ordered disclosures
  • Injunctive Relief clause with prevailing-party attorneys'-fees provision and blue-penciling severability

What this form covers

Parties and Effective Date

This agreement is entered into between **[PHOTOGRAPHER LEGAL NAME]** (the "Company") and **[EMPLOYEE LEGAL NAME]** (the "Covered Party"). It takes effect on **[EFFECTIVE DATE]** and is a material condition of any employment or contractor engagement — the Company would not hire or partner without it.

---

Definitions

The agreement precisely defines the key terms that govern enforcement:

  • **Competitive Business** — any provider of real estate photography, drone imagery, Matterport/iGUIDE 3D tours, floor plan drafting, or comparable visual media services for property marketing. - **Restricted Territory** — within **[RESTRICTED RADIUS] miles** of the company's primary office address. - **Restricted Period** — **[RESTRICTION MONTHS] months** following separation, for any reason. - **Confidential Information** — client lists, pricing, workflows, vendor relationships, and all other non-public business data.

---

Non-Compete Covenant

During employment and throughout the Restricted Period, the Covered Party may not own, operate, consult for, or work for any Competitive Business inside the Restricted Territory — nor serve any former Company client directly.

The [RESTRICTED RADIUS]-mile radius and [RESTRICTION MONTHS]-month term are expressly acknowledged as reasonable given the local real estate photography market and the Covered Party's access to proprietary client relationships.

---

Non-Solicitation of Clients and Referral Partners

The Covered Party may not solicit, contact, or divert any client, real estate agent, broker, or referral partner of the Company — regardless of who initiates contact and regardless of the channel (email, text, social media, or in person).

---

Permitted Exceptions

The agreement is carefully scoped. Covered Parties **may**:

  • Shoot real estate outside the Restricted Territory (without serving Company clients) - Work in any unrelated industry - Disclose Confidential Information if compelled by court order (with advance notice to the Company) - Undertake any activity expressly pre-approved in writing by [PHOTOGRAPHER LEGAL NAME]

---

Injunctive Relief and Remedies

Any breach entitles the Company to seek immediate injunctive relief without proving actual damages or posting bond. The **prevailing party recovers attorneys' fees** — a strong deterrent against frivolous violations or defenses.
