What is the Vendor Supplier Agreement?

The Vendor Supplier Agreement is a bilateral contract template for real estate photographers, 3D tour creators, and reality-capture professionals who purchase editing, cloud storage, print fulfillment, or other third-party services. It establishes binding terms between a buyer (the photographer) and a vendor, covering service-level commitments, payment schedules, confidentiality obligations, data security requirements, audit rights, intellectual property ownership, and dispute resolution procedures.

When should you use this form?

Use the Vendor Supplier Agreement when contracting with any third-party service provider whose work touches client media assets or project data — for example, an overseas photo-editing studio, a Matterport cloud-hosting reseller, a wide-format print fulfillment company, or a virtual-staging provider. It is especially appropriate when missed delivery deadlines, data handling failures, or unauthorized use of property images would create liability with the photographer's own clients.

What's included in this template?

  • Parties and Effective Date identifying Buyer and Vendor
  • Scope of Services with written-amendment requirement for scope changes
  • Service Level Agreement with delivery deadlines, cure periods, and material-breach trigger
  • Fees and Payment terms including late-interest accrual at 1.5% per month
  • Confidentiality clause prohibiting portfolio use of client media without consent
  • Data Security and Privacy obligations for handling property images and project files
  • Right to Audit clause allowing annual records and systems review
  • Intellectual Property, Indemnification, and Dispute Resolution provisions

What this form covers

Parties and Effective Date

This Agreement is entered into between **[PHOTOGRAPHER LEGAL NAME]** (Buyer) and **[VENDOR LEGAL NAME]** (Vendor), effective as of **[EFFECTIVE DATE]**. It governs every purchase of editing services, cloud storage, print fulfillment, or other third-party goods and services the Buyer procures from the Vendor.

---

Scope of Services

Vendor agrees to provide: **[DESCRIPTION OF SERVICES]**, including any editing, cloud storage, print fulfillment, or related deliverables as mutually agreed in writing. Any scope changes must be documented in a signed written amendment — verbal authorizations are not binding.

---

Service Level Agreement (SLA)

Vendor commits to delivering completed services within **[DELIVERY DAYS] business days** of receiving required materials. Missed deadlines must be flagged within **[DISPUTE NOTICE DAYS] business days**, after which Vendor has **[CURE PERIOD DAYS] business days** to remedy the issue at no additional cost.

Three or more missed deadlines within any rolling 90-day window constitute a **material breach**, entitling Buyer to terminate the agreement.

---

Fees and Payment

The base fee is **[BASE FEE]** per **[BILLING UNIT]**, invoiced **[INVOICE FREQUENCY]** in arrears. Payment is due within **[PAYMENT TERMS DAYS] days** of a valid invoice. Late balances accrue interest at 1.5% per month.

---

Confidentiality

All client data, property images, project files, and pricing structures shared with Vendor are treated as **Confidential Information**. Vendor may not use Buyer's media assets in its own portfolio or marketing without prior written consent. Confidentiality obligations survive termination for **[CONFIDENTIALITY TERM YEARS] years**.

---

Right to Audit

With **[AUDIT NOTICE DAYS] business days'** written notice, Buyer may audit Vendor's records, systems, and processes to verify SLA compliance, data security, and invoicing accuracy — up to once per calendar year (more if a material breach is suspected). Vendor must retain all relevant records for **[RECORD RETENTION YEARS] years** post-termination.
