All photographs, video footage, 3D tour data, Matterport or iGUIDE scan files, drone imagery, floor plans, and any derivative files produced under this agreement are created as a **"work made for hire"** as defined under 17 U.S.C. § 101. The client is deemed the sole and exclusive author and owner from the moment of creation — the contractor retains no license, reproduction right, or residual claim whatsoever.
To the extent any deliverable does not qualify as a work made for hire under applicable law, the contractor irrevocably assigns all copyright, intellectual property rights, and moral rights to the client throughout the universe, in perpetuity, in all media now known or hereafter devised.
This agreement includes a dedicated clause in which the contractor **expressly acknowledges** that the agreed fee reflects a substantial premium above standard rates — compensation specifically for the complete and irrevocable transfer of intellectual property. The contractor confirms they have had the opportunity to seek independent legal and financial counsel, and that the compensation is fair consideration for the rights being conveyed.
Because ownership transfers fully to the client, the contractor may **not** display, publish, or use any deliverable — in whole or in part — in a portfolio, website, social media channel, or marketing material without express prior written consent from the client. The client retains the unilateral option to grant a limited, revocable portfolio license via a signed written addendum.
The agreement also covers contractor representations and warranties (originality, no prior assignments, FAA compliance for drone work), a confidentiality obligation with a defined survival period, mutual indemnification language, independent-contractor status, and a binding arbitration clause with attorneys'-fees recovery — all governed by the state of the contractor's choosing.
